Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the On The Hitlist website, applications, platform, and all related services, features, content, software, and functionality (collectively, the “Service”).

The Service is operated by TMPST LLC, doing business as “On The Hitlist” ("TMPST LLC," "On The Hitlist," "we," "our," or "us").

By creating an account, accessing, purchasing a subscription to, or using the Service, you agree to be bound by these Terms and our Privacy Policy, Refund Policy, and DMCA / Copyright Policy, together with any additional rules or policies expressly incorporated into these Terms by reference.

If you do not agree to these Terms, do not access or use the Service.

1. The Service

On The Hitlist is an online music-discovery and evaluation platform and community for music producers and artists.

Users may create music, beats, instrumentals, and other audio works using their own software and tools, and may submit eligible finished audio files to the Service to be reviewed, evaluated, curated, ranked, and considered for selection, placement, feedback, recognition, or other opportunities offered through the Service.

The Service may include, without limitation:

  • User accounts and producer/artist profiles
  • Audio submissions and submission management
  • Curated review, evaluation, and selection processes
  • Community listening, feedback, and voting features
  • Rankings, tiers, lists, and recognition (including the “Cosign Score”)
  • Progression, status, and profile features
  • Activity feeds and community features
  • Challenges, events, and opportunities
  • Subscription-based tools, capacity, and features
  • A merchandise store and related purchases

On The Hitlist is primarily a skill- and merit-based discovery and curation community. Unless we expressly state otherwise in separate official rules for a specific event, the Service is not a gambling service, lottery, sweepstakes, contest of chance, financial service, investment platform, money-transmission service, or general-purpose music-streaming service.

2. Eligibility

2.1 Minimum Age

You must be at least thirteen (13) years old to create an account or use the Service.

If you are under thirteen (13), you may not access or use the Service or create an account.

We may suspend or terminate an account if we reasonably believe the account holder does not meet the applicable minimum-age requirement.

2.2 Users Under 18

If you are between thirteen (13) and seventeen (17) years old, you may use the Service only with the consent and supervision of a parent or legal guardian.

By permitting a minor to use the Service, the parent or legal guardian agrees to these Terms on the minor’s behalf and accepts responsibility for the minor’s use of the Service.

2.3 Purchases by Minors

You must be at least eighteen (18) years old to independently purchase a subscription or make any other real-money purchase through the Service.

Any purchase associated with the account of a user under eighteen (18) must be made or expressly authorized by that user’s parent or legal guardian.

3. Accounts and Account Security

3.1 Registration

To access certain features you must create an account and provide accurate, current, and complete information. You agree to keep your account information up to date.

3.2 Your Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@onthehitlist.com if you suspect unauthorized use of your account.

3.3 One Account

Unless we expressly permit otherwise, you may maintain only one account, and you may not share, sell, or transfer your account.

4. User Submissions and Content

4.1 Your Ownership

You retain all ownership rights you already hold in the audio, music, images, text, and other materials you submit or upload to the Service (“User Content”). We do not claim ownership of your User Content.

4.2 License You Grant Us

To operate the Service, you grant On The Hitlist a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, transmit, display, and perform your User Content solely as necessary to provide, evaluate, promote, and improve the Service and the features you choose to participate in (for example, to enable review, community listening, rankings, and selection).

This license does not transfer ownership, does not permit us to sell your music as our own, and ends when you delete your User Content or your account, except for (a) copies retained in routine backups for a limited period and (b) any use you separately and expressly authorize in writing.

4.3 Your Representations

You represent and warrant that, for all User Content you submit:

  • You own it or have all rights and permissions necessary to submit it;
  • It does not infringe or misappropriate any third party’s intellectual property, publicity, or privacy rights;
  • It does not contain uncleared samples, third-party recordings, or other material you are not authorized to use; and
  • It does not violate these Terms or any applicable law.

Copyright and infringement matters are governed by our separate DMCA / Copyright Policy.

5. Evaluation, Rankings, and Outcomes

5.1 How Evaluation Works

Submissions may be reviewed and evaluated through a combination of curation, community feedback, and our own editorial judgment. Rankings, lists, scores (including the Cosign Score), selections, and similar outcomes reflect subjective assessments and editorial decisions.

5.2 No Guaranteed Outcome

We do not guarantee that any submission will be reviewed within a particular time, selected, ranked, featured, placed, or result in any particular opportunity, exposure, or benefit. Outcomes are not promised and are provided on an “as-available” basis.

5.3 Integrity

You may not manipulate, game, or interfere with evaluations, rankings, votes, or selections, including through fake accounts, automated activity, coordinated voting, or other deceptive conduct. We may adjust or remove results and take action on accounts that violate this section.

6. Subscriptions, Payments, and Purchases

6.1 Paid Features

Certain tools, capacity, and features are available through paid subscriptions or one-time purchases. Prices, features, and plan details are described at the point of purchase and may change prospectively.

6.2 What Payment Provides — and What It Does Not

Payment provides capacity, tools, access, and convenience. Payment does not buy merit, and it does not buy or guarantee evaluation outcomes.

Subscriptions and purchases may grant things such as additional submission capacity, enhanced tools, expanded profile or workflow features, and similar functional benefits. Paying does not and cannot purchase a ranking, a higher Cosign Score, a selection, a placement, a win, a favorable evaluation, or any other merit-based result. All merit-based outcomes are determined by the evaluation processes described in Section 5, independent of whether a user has paid.

6.3 Billing and Renewal

Subscriptions renew automatically for successive periods until cancelled. You authorize us and our payment processor to charge your payment method on each renewal until you cancel. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period.

6.4 Payment Processing

Payments are processed by third-party payment processors. We do not store full payment card numbers. Your use of payment features is also subject to the processor’s terms and privacy practices.

6.5 Refunds

Refunds and returns are governed by our separate Refund & Return Policy.

7. Acceptable Use

You agree not to:

  • Violate any law or the rights of others;
  • Upload content you do not have the rights to, or that infringes intellectual property;
  • Upload malware or attempt to disrupt, overload, or compromise the Service;
  • Access the Service through unauthorized automated means, scrape, or reverse engineer it except as permitted by law;
  • Harass, threaten, defame, or abuse other users or our staff;
  • Post hateful, discriminatory, sexually exploitative, or otherwise objectionable content;
  • Impersonate any person or misrepresent your affiliation;
  • Manipulate rankings, evaluations, votes, or selections; or
  • Use the Service for any fraudulent or unlawful purpose.

8. Our Intellectual Property

The Service, including its software, design, text, graphics, logos, the “On The Hitlist” name and marks, and all related intellectual property, is owned by TMPST LLC or its licensors and is protected by law. Except for the rights expressly granted to you in these Terms, we reserve all rights. You may not copy, modify, distribute, or create derivative works from the Service without our prior written permission.

9. Suspension and Termination

9.1 By You

You may stop using the Service and delete your account at any time through your account settings.

9.2 By Us

We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Service, other users, or third parties. We may also discontinue the Service or any feature at any time.

9.3 Effect of Termination

On termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content, evaluation, or outcome will meet your expectations.

11. Limitation of Liability

To the maximum extent permitted by law, TMPST LLC and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless TMPST LLC and its owners, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Service, or your violation of these Terms or the rights of any third party.

13. Dispute Resolution; Governing Law

13.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

13.2 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@onthehitlist.com. We’ll try to resolve it with you in good faith.

13.3 Arbitration; Class Waiver

To the extent permitted by law, any dispute not resolved informally will be resolved by binding individual arbitration rather than in court, and you and On The Hitlist waive the right to a jury trial and to participate in a class action. This section does not prevent either party from seeking relief in small-claims court for qualifying claims. If any part of this arbitration provision is found unenforceable, the remainder will still apply to the extent permitted.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “Last Updated” date or by notifying you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
